VASCO STANDARD TERMS & CONDITIONS

These Standard Terms and Conditions apply to the use of the online shop (“Online Shop”) owned and operated by VASCO Data Security International GmbH (“We”, “Us”, “Our”) at the web address http://shop.vasco.com/ and for purchase of products from the Online Shop. The Online Shop is intended for consumer use only.

1. Orders as offers, Notice of receipt of order, Invoice, Languages

1.1  Your online orders are mere offers, and neither the charging of your credit card constitutes a binding contract of sale. We are bound by a contract of sale only when We accept your order and acknowledge your payment by credit card via email sent by Us to you.

1.2 You may fill your shopping cart with one or more items in the Products list page, up to a limit of 25 pieces. If any item is out of stock upon your order, We will notify you accordingly.

1.3 The Shopping Cart page shows the description, quantity and price of the items you place in your shopping cart. In the course of placing your order, you will be asked to provide personal information and shipping instructions. On the Information Summary page, you may view all relevant information you entered. To continue with your order, you must read the Terms and Conditions and tick the box if you agree.

1.4 In every stage of the online order process you have the opportunity to review, change or delete the items in your shopping cart, as well as to correct any input error relevant to the Invoicing and Shipping entries prior to submitting your order. By proceeding to provide your payment information and clicking on the button [CONTINUE], you submit a binding offer of purchase.

1.5 You have the chance to print your order displayed on the Payment and Confirmation Page. You will receive by email an Order Confirmation Reference ID to help you track your order at any time. You are notified hereby that the VASCO Products are subject to the provisions of the United States Export Regulations. Acceptance of your order is therefore likewise subject to these export regulations as well as other applicable export laws and regulations.

1.6 Once your order is processed and dispatched, you will receive by email an Invoice and notice of shipment. The Invoice is proof that VASCO accepts your offer of purchase and the payment you posted. The text for your Invoice and notice of shipment will be stored by Us, but not available online.

1.7 If We reject your order, you will not receive any Invoice via email within fourteen (14) days of ordering from the Online Shop, and you are no longer bound by your offer. The amount debited from your credit card will be refunded immediately.

1.8 You are responsible for ensuring the correctness of the email address you notify to Us and that Our email notices are not rejected by a spam blocker.

1.9 We provide the Online Shop in English, French and Dutch.

2. Prices, Terms of payment

2.1 All prices are in Euro and include Value Added Tax (VAT) and the mandatory disposal fees, but exclude shipping costs. The price is valid when you place your order.

2.2 We reserve the right to correct any price, typographical or other errors, and will notify you accordingly, giving you the option to cancel or to proceed with your order based on the correct price or other entry.

2.3 Payments are made only by credit card (MasterCard, VISA, Amex) in the secure environment of a reputable Payment Service Provider. You will find payment made to Us on your bank statement under the name “VASCO Data Security”. No additional costs are charged for credit card payments.

2.4 In making a binding offer, your authorization to debit your credit card is required; however, authorization to debit payment does not constitute acceptance on Our part of your order nor does it constitute the conclusion of a contract of sale between you and VASCO. 

3. Terms of delivery, Shipping, Retention of title

3.1 Upon successful verification of your payment information, We will process your order for assembling, packaging and shipping as soon as possible. Orders of several products may be shipped separately.

3.2 We invoice and deliver only within Belgium. You are responsible for the correctness of all shipping information notified to VASCO. You are further responsible for all charges consequent to shipment made to an erroneous address you provide.

3.3 All online orders are shipped via Taxipost 24h. You may visit the Taxipost 24h webpage at http://www.bpost.be/site/fr/business/parcels/next_day/taxipost24.html for more information.

4. Right to cancel

4.1  You have the right to cancel the contract for any reason, by giving Us written notice and by returning the unopened and unused product within fourteen (14) days from your receipt of the product. Your right to cancel is validly exercised upon timely notice of the cancellation and return of the product with a copy of the invoice, following the RMA Procedure on the Online Shop. Should the product not arrive notwithstanding notice of shipment to you, you may cancel the contract by written notice to Us within fourteen (14) days from the expected date of delivery. The cancellation notice, the product with the Invoice must be sent to Our logistics office at:

4.2 For products returned in new condition, you will receive a full refund of the product price within six (6) weeks from Our receipt of your cancellation notice, the products and Invoice. All shipment costs are for your account.

We are entitled to compensation for the value of products returned with broken seals or in deteriorated condition. Compensation to Us will not apply and you will receive a full refund of the product price only for products returned in new condition or where deterioration arises solely from your examining the product as you would in a retail outlet.

4.3  The right to cancel applies only if you conclude the contract as a consumer and not for purposes attributed to a business or to any form of self-employment.

5. Warranty, Return under warranty

5.1 Should you receive a defective product and notify Us in writing within the warranty period of twenty-four (24) months following the RMA Procedure on the Online Shop, We will either rectify the defect or replace the product within a reasonable time.

5.2 You must return to Us the defective product together with the Invoice. Your warranty rights do not apply where defects arose from conditions for which you are responsible, i.e. improper installation or use, flawed start-up, non-observance of the operation manual, unsuitable accessories or spare parts, unauthorized repair measures, or wear and tear. 5.3 If you conclude the contract of sale within the scope of a business or self-employment as an entrepreneur, the warranty rights specified above may be asserted only within one (1) year of product delivery to you.

5.4 We reserve the right to modify the products as to design, material, and features to a minor and customary extent, but with equivalent functionality. We reserve the right to make minor customary deviations in structure and color.

5.5 Statements in the Online Shop and any informational material, as well as product descriptions, are for information only and not warranty of a particular quality of the purchased products, unless expressly specified otherwise.

5.6 These warranties, together with any statutory warranty, are the maximum warranties to which VASCO will be held. You have the obligation to take appropriate measures to prevent or minimize any damage.

6. Protection of data privacy

Personal data you provide during the order process (such as your name, address, email address) are collected, processed and used for the purpose of executing your order and for Our performance of the contract. Your personal data will be disclosed to third parties (such as payment processors, banks, and carriers) only to the extent required for the performance of the contract. 8. Contractual terms, Applicable law and Jurisdiction

8.1 Only these Terms and Conditions apply to the use of the Online Shop and to Our binding contract of sale.

8.2 You may only offset claims that are uncontested or non-appealable. You have a right of retention only to the extent that your counterclaim arises from the same contractual relationship.

8.3 The contract of sale is subject to the laws of Belgium, without regard to the United Nations Convention on Contracts for the International Sales of Goods (CISG).

8.3 If you are a merchant or a legal entity, or with no place of jurisdiction within Belgium upon institution of any claim, the Commercial Courts of Zurich, Switzerland shall have exclusive jurisdiction over any dispute arising from the online contract of sale. We may also bring action against you at any other court or forum with appropriate jurisdiction. Arbitration proceedings are excluded.

9. Severability clause

Should any provision in these Terms & Conditions become void, the remainder shall remain valid and binding between you and Us.
